Provider's Claims Avert Preemption Under Pascack Analysis
<p><p> Vaimakis v. United Healthcare/Oxford, 2008 U.S. Dist. LEXIS 60435 (D.N.J. Aug. 8, 2008) applies the Third Circuit preemption analysis to find that ERISA does not preempt a medical provider's claims.
Here's the test:
For a claim to be completely preempted under § 502(a) and subject to removal, the Third Circuit requires two elements: (1) the plaintiff could have brought the claim under § 502(a); and (2) "no other legal duty supports [the] claim." Pascack Valley Hospital, Inc. v. Local 464A UCFW Welfare Reimbursement Plan, 388 F.3d 393, 400 (3d Cir. 2004) [*8] . Both requirements must be met in order for the claim to be completely preempted. Engle v. Milton Hershey School, No. 06-0109, 2007 U.S. Dist. LEXIS 3975, 2007 WL 1365916, at * 4 (M.D.Pa. Jan. 19, 2007).
The court noted that the rule was disjunctive - so that even if the defendant could prove that the provider took assignments - which it had not done at the state of the ruling on the motion to remand - the provider could still avoid preemption by basing her claims on an "independent legal duty".
I found it interesting that the provider had been in the network, but had not renewed her agreement before rendering the services in dispute.

Study: Pennsylvania AG destroyed "roughly $2.7 billion in shareholder wealth"
<p><p><p>Jonathan Klick of Florida State and Robert Sitkoff of Harvard have a new paper on SSRN entitled "Agency Costs, Charitable Trusts, and Corporate Control: Evidence from Hershey's Kiss-Off". Abstract (h/t contributor Mike DeBow): <blockquote>In July 2002, the trustees of the Milton Hershey School Trust announced a plan to diversify the Trust's investment portfolio by selling the Trust's controlling interest in the Hershey Company. The Company's stock jumped from $62.50 to $78.30 on news of the proposed sale. But the Pennsylvania attorney general, who was then running for governor, brought suit to stop the sale on the grounds that it would harm the central Pennsylvania community. In September 2002, after the attorney general obtained a preliminary injunction, the trustees abandoned the sale and the Company's stock dropped to $65.00. Using standard event study econometric analysis, we find that the sale announcement was associated with a positive abnormal return of over 25 percent and that canceling the sale was followed by a negative abnormal return of nearly 12 percent. Our findings imply that instead of improving the welfare of the needy children who are the Trust's main beneficiaries, the attorney general's intervention preserved charitable trust agency costs on the order of roughly $850 million and prevented the Trust from achieving salutary portfolio diversification. Overall, blocking the sale destroyed roughly $2.7 billion in shareholder wealth, reducing aggregate social welfare by preserving a suboptimal ownership structure of the Company. Our findings contribute to the literature of trust law by supplying the first empirical analysis of agency costs in the charitable trust form and by highlighting shortcomings in supervision of charitable entities by the state attorneys general. But of more than local interest is the litigation surrounding the management of the Milton Hershey School Trust and the attempt to sell the company.</p>

<p dir="ltr"><strong>The authors are critical of the PA Attorney General's role:</strong></p>
<p dir="ltr"> "Regarding trust law, our findings imply agency costs arising from the Trust’s charitable trust form on the order of $850 million, about 15% of the 2002 value of the Trust. Although the trustees controlled more than three-quarters of the shareholder votes in the Company, they failed <br />
to impose a value-maximizing strategy on the Company’s managers. As we have seen, the market judged the Company as being $2.7 billion (or 25.5%) more valuable when the Company’s managers were expected to be subject to the market for corporate control instead of supervision by the trustees. </p>
<p dir="ltr">Moreover, instead of reducing the agency costs associated with the Trust’s charitable trust form, the Attorney General’s intervention made those agency costs permanent. Without any offsetting financial benefit to the Trust, the Attorney General forced the Trust to retain an asset that was worth $850 million more on the open market than in the hands of the trustees. While the sale’s detractors argued that the sale would hurt other stakeholders, such as the residents of Hershey and the Company’s employees, one wonders whether their gain offsets the preservation of such enormous agency costs. The $850 million in Trust assets destroyed translates roughly into $67,000 per resident of Hershey, or $62,000 per employee of the Company—plus the Trust’s exposure to uncompensated risk was continued." William H. "Lebbie" Lebkicher, a wizened, string bean of a man, was a native of Lancaster County, Pennsylvania. In 1880, he began working for young Milton Hershey's confectionery store at 935 Spring Garden Street, Philadelphia. Milton Hershey's mother's family were farmers in Lancaster County. Lebbie had learned of the job opening while working on an adjoining farm. Thus began a friendship that would endure for more than 50 years.<br />

The Civil War veteran was a boarder of Milton Hershey during the years in Philadelphia and was a jack of all trades at the candy shop. Milton Hershey said, Lebbie was the only man I couldn't outwork. But I could out talk him. He didn't say much, and when he did, he usually snapped at you.<br />
<br />
The caramel shop in Philadelphia failed in 1882 and Milton Hershey and Lebbie Lebkicher went their separate ways. Milton Hershey returned to Lancaster in 1883 seeking financial support from his mother's family to start another venture in candy making. The Snavely family refused to assist him and also suggested that he find another place to sleep that night. Milton Hershey returned to Lancaster City and found shelter with his old employee, Lebbie Lebkicher. At this time Lebbie showed the depth of his fondness for young Milton, providing him with a change of clothes, a hot meal, and a place to sleep. When the railroad station complained about the furniture and candy equipment which Milton had sent "Cash On Delivery" and now had no money to release, Lebbie came to the rescue, paid the delivery charges and had it stored. Milton Hershey never forgot this kindness, and after that treated him with all the consideration his own generous nature could show.<br />
<br />
Milton Hershey's success in Lancaster with the Lancaster Caramel Company would lead them both to the town of Derry Church, later to be named "Hershey". Lebbie remained a close associate of Mr. Hershey's, heading up the early construction projects for the new town and serving as a director for the Hershey Trust Company and Hershey Industrial School (now Milton Hershey School). Milton Hershey deeply trusted him and asked him to look after his mother and wife when he was out of town. He held many job titles but was most often introduced by Milton Hershey as "My good right hand."<br />

Lebbie Lebkicher never married or had children and perhaps looked upon Milton Hershey as the son he never had. Guns, Cleavage, Drugs, Hercules, Nolan Bushnell And 2 Truisms About Me .......
<p><p><p><br/></p>
<p>The first truism is I will never pass up the opportunity to play a classic pinball game. I am talking 1990 and later.</p>
<p>The second is I don't shirk from riding new roller coasters. I am always game to try out a new coaster. If it beats me up the first time I simply won't go on it again ... much.</p>
<p>Rather then jump to the story about guns, cleavage, and drugs I will start with what ever is left. I promise you it will make sense in the end.</p>
<p><i>This is called 'leading the reader' an effect that forces someone to read through a story to get to the facts that are more 'titillating', for lack of a better word. </i></p>
<p>I recently got back from a day trip to Hersheypark. What an amazing amusement park. Much bigger than I remember from my time living there every summer while I attended Milton Hershey School. Every time I go there I am fifteen again and Shannon and I are trying to break the record for the 'Zodiac'. I remember stuff that only someone who spent a good amount of time there will be able to testify to.</p>
<p>Since 1977 Hersheypark has kicked ass with the first inverted coaster on the East Coast. 'Revolution' (1976) at Magic Mountain in Valencia Falls was the first, in case your wondering, and the 'Looper' was built by the same company, <span>'Anton Schwarkopf'. </span></p>
<p>Interest in this classic ride has waned over the years because of it's single loop. Many people think it's boring because of this fact. I for one was happy nobody wanted to ride the 'Looper'. It meant no lines and a lowering of the height requirement to allow smaller riders on. The 'Looper' was my daughter Lindsay's first upside down coaster and she loved it. "Scared bliss" was all I saw in her eyes. She is another adrenalin junkie in the making.</p>
<p>Side note: The wooden roller coaster 'Hercules' at Dorney Park had the record of the longest drop in the world. I actually got to be one of the first riders of this coaster. Weird coincidence for this story.</p>
<p>I digress so much I can't remember where I was.</p>
<p>That's right 'Hercules'! In 1979 Atari Corp. put out a pinball game on steroids called 'Hercules'. To this day it has the record for being the largest mass produced pinball machine. These rigs are massive, but by being so big it compromises game play. You can't trap the ball very well which shuts me out. I am always holding the ball to make those 'special' shots. Plus it was made before the million point multipliers became the rage. A good score topped 250,000 not 25,000,000. I know because I got to play it in Hersheypark upper arcade.</p>
<p>Hersheypark has one of the best places to get your 'game on' (my fave is 'Flipper Mccoys' in Virginia Beach). Their arcade has alot of classic video games and a wall of pinball that would make a pinball junkie swoon. The great thing is they are all .25 cents. 5 bucks in quarters and my family lost me for an hour. Folks I am talking 'Pinbot' for about half that time.</p>
<p>That's all I can stand writing for now, I guess next up will be Nolan Bushnell and how he recently complicated my life.</p>

The Wedding
<p><p>As a wedding photographer I am with the bride from the moment she dons her beautiful bridal gown until the moment she dances the last dance with her new groom...I've done hundreds of weddings by this point which I think places me in the position to be a fair critic of weddings in general - the flow of the day, the organization, the ambiance and most importantly - the emotions.<br /><br />My sister had an elegant, perfect wedding. With the exception of a fifteen minute thunderstorm (which in my personal opinion is a spiritual miracle of nature!) everything went as planned...<br /><br />The flowers arrived on time and the unexpected bouquet from an absent friend started the tears...the bridal party's hair was done by one of my sister's best friends (a professional stylist and also a bridesmaid) and she even had the time for Lemma-Lu!<br /><div style="text-align: left;"><br />I was dressing my boys in their tuxedos when my older son Layth exclaimed to me, <span style="font-style: italic;">"Mom, this is tight!" </span>I looked up at him, <span style="font-style: italic;">"Tight!?"</span> I asked. <span style="font-style: italic;">"</span><span style="font-style: italic;">Oh no!!! </span><span style="font-style: italic;">What is tight? Don't tell me your shoes are hurting you!" </span>He sighed, a deep, mom-don't-you-know-better? sigh...<span style="font-style: italic;">"No Mom. <span style="font-weight: bold;">Tight</span>. I mean this is <span style="font-weight: bold;">cool</span>. Do I get to keep this tux?" </span>And I looked at him and saw his father in his eyes; tall, handsome and a very, very sharp dressed man. I held back tears, missing his father more than I could bear, and said, <span style="font-style: italic;">"No, but your Dad will buy you one."</span><br /><br />Everyone was in good spirits at our parents' house that morning; relaxed and truly enjoying the day. Only our mother was a bit stressed out but for the most part I've observed that's what mothers are best at! ;o) The photographer arrived (my mentor and a best friend - I asked her to shoot the wedding and she agreed!!!) and before I knew it we were outside in the yard my father so lovingly manicured for this occasion, posing for the 'pre-ceremony formals'. Then, almost without warning, the sky opened up to rain and it wasn't necessarily a bad thing because it was past time to head to the ceremony anyway. I recall the photographer saying <span style="font-style: italic;">"One more!"</span> and me shouting<span style="font-style: italic;"> "NO!!!! RUN!"</span> and we couldn't race fast enough to beat the buckets of water pouring over us - she tossed me one of her cameras and said <span style="font-style: italic;">"Cover this!!!"</span> and I wrapped it in my shawl and protected it like a baby...<br /></div><br />My sister ran straight into the awaiting limousine and before I knew it, she was gone...<br /><br />And then before I knew it I was driving through a torrential downpour to get to the ceremony, knowing I had plenty of time but still worried about being late. I arrived in time to carry my own photography gear in - fully expecting that I would have the time to use it - and freshen up. And then, before I knew it, the bridal party was lining up.<br /><br />The ceremony was held at <a href="http://www.mhs-pa.org/about/campus-buildings/founders-hall/">Founder's Hall</a>, a tribute to my father who graduated from Milton Hershey School, back in the days when it was dedicated to orphaned and needy boys. Once the groomsmen walked in and were set in their positions, I sent out the bridal party, timing their walk down the isle to a pattern I knew would be conducive to the photographs, naturally.<br /><br />I think everyone held their breath when my 5-year-old son Latif - aka "The Ringbearor - Protector of the Rings!" headed out for that walk down the isle - you see, the night before at the rehearsal, he did not walk. He sprinted.<br /><br />And here he was today with the <span style="font-style: italic;">real rings.<br /><br /></span>To everyone's relief, he walked the perfect walk directly to the best man, presented the pillow and waited for the rings to be pulled off. He then took empty pillow and stood his place in the grooms men's line.<br /><br />The ceremony was beautiful and before I knew it we were going into formal photos. And then off to the reception...<br /><br />I arrived with my three little ones; two of them slept along the way. As soon as the car stopped and the doors opened, they were back at 100% energy and I think it was at this point that I finally had the time to consider taking my cameras out of my bag.<br /><br /><a onblur="try {parent.deselectBloggerImageGracefully();} catch(e) {}" href="http://bp1.blogger.com/_I5yf6wVMWrM/SGxKa-HAUkI/AAAAAAAAAfs/Ge5Aqz43LHI/s1600-h/wed08.jpg"><img style="display:block; margin:0px auto 10px; text-align:center;cursor:pointer; cursor:hand;" src="http://bp1.blogger.com/_I5yf6wVMWrM/SGxKa-HAUkI/AAAAAAAAAfs/Ge5Aqz43LHI/s320/wed08.jpg" border="0" alt=""id="BLOGGER_PHOTO_ID_5218627895424995906" /></a><br /><br />The rest of the evening was like a fairy-tale; dances and kisses and many, many tender and emotional moments - more perhaps than I have ever seen, but then maybe I am biased after all! (or not!) - I am in love with my family and so happy for my sister... I truly believe she has found true love and of all the people I know, she deserves it the most!<br /><br />At the end of the evening I found that I had taken a total of, oh -109 photos - compared to the usual 1100+. And for as much as I thought I'd be a shutterbug at my sister's wedding I realized that I just wanted to be a part of it - to enjoy it - and then suddenly, I saw my profession in such a different light. Overview:
The mission of the Evangelical Free Church of Hershey (EFCH) is "Pointing people to Jesus Christ so that together we become more and more like Him." It is the desire of the church to become a congregation that truly pleases the Lord Jesus Christ; fulfilling the purpose He has given us as a congregation. In order to continually do greater things for the Kingdom of Christ, the church recognizes its need to be stretched.
As part of this "stretching" EFCH (www.hersheyfree.com) is searching for a new senior pastor. Dave Martin, the only senior pastor the church has known, has led with an unwavering commitment to God's Word for the past 35 years. This has become an important part of the spiritual DNA for the church. Pastor Dave is sensing God's leading to transition out of the Senior Pastor role.
The elders and a transition team of EFCH are working in partnership with the Eastern District Superintendent, Steve Musser, to prepare for the leadership transition. They plan to find Pastor Dave's successor within a time frame that allows for a period of orientation.
The Evangelical Free Church of Hershey is a congregation that has enjoyed a rich history of deeply rooted Bible teaching, inspiring worship, strong missions focus, and church planting throughout the region. The church has impacted many lives and experienced a long period of exponential growth as attendees were drawn near to Christ and transformed by the Word.
In the last decade, challenges, which created a loss of momentum in a historically growth-oriented church, have occurred. There have been two capital campaigns and several ministry initiatives that were only warmly received by the congregation. The inability to successfully carry out these initiatives resulted in a general sense of confusion. This has led to a trickling attendance decline. Despite the decline, the regular attendance is approximately 2575 (adults, youth & children). However, there is a spirit of expectancy as the church prepares for this new chapter to unfold.
The Opportunity:
While EFCH has a rich history, it does not want to live in the past. There is prayerful hope that God will use this transition to bring a fresh vision and a renewed commitment to its mission. The leaders in the church have confidence that a solid foundation exists upon which a new pastor will be blessed to build.
The new Senior Pastor will strategically invest in the life of the church and discern, with the help of others, the distinct identity and future focus. He will be eager to learn about EFCH and the surrounding area by studying the results of the recent organizational consulting data, and by meeting with staff, elders, and key stakeholders. He will be able to align staff and ministries under a unifying vision for the church. He will bring keen insight and have proven experience in developing appropriate organizational structures, clarifying leadership roles, and establishing values-driven resource allocation.
He will also mentor and develop staff and lay leaders. The new Pastor will view himself as the spiritual shepherd of the staff and be an example of servant leadership that they can emulate.
In addition to being a strategic leader, the new Pastor will be an excellent expository preacher/teacher who can bridge the truth with real-life application. He will maintain the distinctive of EFCH as a teaching church and will challenge both the head and the heart through transformational teaching of God's Word.
The new Pastor that God brings to EFCH will clarify its vision and distinctive role in God's Kingdom. He will be committed to carrying out the Great Commission and Great Commandment both locally and internationally.
Church Facts:
The church has a 23-acre site with 88,400 sq. ft. of ministry space, including an 1100 seat worship center. In addition, the church owns a 100-acre site a few miles from the church that it hopes to use for sports ministry, community outreach, and a possible future second campus.
Currently there are 33 full-time and 12 part-time staff with 12 pastors and an annual budget of $3,568,225.00 which includes a mission's budget of $1,016,581.00. Current total attendance (adults, youth, and children) averages 2575. The high average attendance took place in 1999 and was 3184.
The Hershey Area:
Hershey, Pennsylvania,(population 12,771) is located in a moderately populated geographic area of south central Pennsylvania. The greater Hershey area enjoys a unique balance of scenic, agricultural landscape and small-town living blended with a close proximity to the major metropolitan areas of Washington, D.C., Philadelphia, New York City, and Baltimore.
Many residents and visitors enjoy camping, hunting, and fishing in Pennsylvania's numerous state parks and woodlands as well as skiing in the nearby Pocono Mountains. Others avidly follow their favorite high school, college and professional minor league sports teams in the area throughout the year. Farmers markets, auctions, seasonal festivals, and community activities abound.
Hershey is well known for the chocolate company that bears its name, and for its amusement park enjoyed by thousands every year. The generous legacy of its founder continues to this day through the Milton Hershey School for disadvantaged children. The ever-expanding Hershey Medical Center is renowned for its research and treatment in cardiology, oncology, and other advanced fields. The affairs of the Commonwealth of Pennsylvania are governed in the nearby state capital of Harrisburg.
The people of the EFCH have a variety of K-12 schooling options, depending on the actual town in which they reside and on personal preferences. Hershey is located within the tri-county area of Dauphin, Lebanon, and Lancaster, each having several school districts. Additionally, a variety of Christian (and other) private schools are available within the area, and some choose to home school. For college education, the Penn State system is highly prevalent throughout the region. There are also a number of smaller, private institutions in the area.
Where is this person now?
Most likely, this person is currently serving as the Senior Pastor of a large, thriving evangelical church. It is also possible that he is serving in a senior level associate role where there are frequent speaking opportunities and the forum to lead significant ministry initiatives.
Qualifications:
-Meets the qualifications of an overseer/elder as described in I Timothy 3:1-7 and Titus 1:5-9.
-M DIV or an equivalent degree from a reputable evangelical seminary or an advanced degree with demonstrated evangelical biblical scholarship.
-Ordained to the ministry. If not ordained by the Evangelical Free Church of America (EFCA), the candidate must be willing to pursue ordination in the EFCA and be able to meet all the standards for ordination by that body.
-Agrees with the doctrinal beliefs of EFCH (see web site).
-Minimum of 10 years of progressively advancing leadership experience. Currently serving in a thriving church or other successful ministry.

Former Mayer Brown Partner Sues Firm for Ousting Him

<p>He'd just won a first-time pro bono award from his law firm, Mayer Brown Row & Mawe, for his work with the alumni association of a Hershey family founded school for underprivileged children and his leadership in the legal battle had been the subject of many news stories.</p>
<p>But by the following January, the law firm was asking him to leave because he didn't have enough fee-generating clients. Halbleib was "shocked," he said. </p>
<p>He pleaded with senior partners to let him stay on as a non-practicing attorney in charge of technology projects. They did, but four years later asked him again to leave, so he did.</p>
<p>It all might sound like one more lawyer's career gone sour in the ever more competitive U.S. big-firm landscape, but Halbleib alleges in a lawsuit against the firm, now known as Mayer Brown, that there's more to the story. </p>
<p>In the lawsuit, filed June 6 in Cook County Circuit Court in Chicago, Halbleib claims the firm really ousted him because it was seeking business from a Hershey rival, Nestle USA, and Halbleib's work for the association stood in the way because its opposition to a Hershey Foods Corp. sale represented a conflict of interest.</p>

<p>"Mayer Brown has reviewed the complaint filed by former partner and employee John Halbleib, and finds it without merit," the firm said in a statement. "We will defend ourselves vigorously and are confident of a positive outcome for the firm."</p>
<p>Halbleib joined Mayer Brown in Chicago as a partner in February 1996, after working at Vedder, Price, Kaufman & Kammholz, and Chapman & Cutler.</p>
<p><strong>6,000 hours of work</strong></p>
<p>In early 1999, Mayer Brown appointed Halbleib to take on pro bono representation of the Milton Hershey School Alumni Association to resolve its dispute with the Milton Hershey School Trust over how a multi-billion dollar endowment left by the famous Pennsylvania chocolate family for the school should be spent, the lawsuit says.</p>
<p>Halbleib was suited to the task because as a teenager he had attended the school, which was dedicated to serving orphans and lower-income students. Halbleib was one of 10 children raised by a single mother after his father died when he was 10 years old. Over the next three years, he spent nearly 6,000 hours on the project and helped the association defeat an effort by the trust to change its mission, according to the lawsuit.</p>
<p>Given that work, Halbleib said in an interview that he "was not out building client relationships." So, he had little defense when two senior partners informed him in January 2002 that he was being expelled from the partnership and should leave the firm by July. Halbleib was eventually allowed to stay on through 2006 as a technology director.</p>
<p><strong>Nestle connection alleged</strong></p>
<p>It wasn't until last year, after looking for a new job, that he considered how his termination coincided with other events at Mayer Brown, he said. He started to see how his ouster was connected to the firm's pursuit of business from Nestle, he alleged.</p>
<p>He recalled a senior partner at the firm asking him in January 2001 to discuss "what Nestle would need to do in order to acquire Hershey Foods" Corp., the lawsuit said. Former Mayer Brown partner sues firm for ousting

<p>He'd just won a first-time pro bono award from his law firm, Mayer Brown Row & Mawe, for his work with the alumni association of a Hershey family founded school for underprivileged children and his leadership in the legal battle had been the subject of many news stories.</p>
<p>But by the following January, the law firm was asking him to leave because he didn't have enough fee-generating clients. Halbleib was "shocked," he said. </p>
<p>He pleaded with senior partners to let him stay on as a non-practicing attorney in charge of technology projects. They did, but four years later asked him again to leave, so he did.</p>
<p>It all might sound like one more lawyer's career gone sour in the ever more competitive U.S. big-firm landscape, but Halbleib alleges in a lawsuit against the firm, now known as Mayer Brown, that there's more to the story. </p>
<p>In the lawsuit, filed June 6 in Cook County Circuit Court in Chicago, Halbleib claims the firm really ousted him because it was seeking business from a Hershey rival, Nestle USA, and Halbleib's work for the association stood in the way because its opposition to a Hershey Foods Corp. sale represented a conflict of interest.</p>

<p>"Mayer Brown has reviewed the complaint filed by former partner and employee John Halbleib, and finds it without merit," the firm said in a statement. "We will defend ourselves vigorously and are confident of a positive outcome for the firm."</p>
<p>Halbleib joined Mayer Brown in Chicago as a partner in February 1996, after working at Vedder, Price, Kaufman & Kammholz, and Chapman & Cutler.</p>
<p><strong>6,000 hours of work</strong></p>
<p>In early 1999, Mayer Brown appointed Halbleib to take on pro bono representation of the Milton Hershey School Alumni Association to resolve its dispute with the Milton Hershey School Trust over how a multi-billion dollar endowment left by the famous Pennsylvania chocolate family for the school should be spent, the lawsuit says.</p>
<p>Halbleib was suited to the task because as a teenager he had attended the school, which was dedicated to serving orphans and lower-income students. Halbleib was one of 10 children raised by a single mother after his father died when he was 10 years old. Over the next three years, he spent nearly 6,000 hours on the project and helped the association defeat an effort by the trust to change its mission, according to the lawsuit.</p>
<p>Given that work, Halbleib said in an interview that he "was not out building client relationships." So, he had little defense when two senior partners informed him in January 2002 that he was being expelled from the partnership and should leave the firm by July. Halbleib was eventually allowed to stay on through 2006 as a technology director.</p>
<p><strong>Nestle connection alleged</strong></p>
<p>It wasn't until last year, after looking for a new job, that he considered how his termination coincided with other events at Mayer Brown, he said. He started to see how his ouster was connected to the firm's pursuit of business from Nestle, he alleged.</p>
